NEW CORPORATE LAW (Act on corporations) - the main changes to the companies, especially Ltds and PLCs; - the possibility to choose a new regime for contemporary companies and the advantages of such a choice; - what is necessary to remove from existing statutes and other corporate documents - "Adapt or Perish"; - the statutory bodies after the recodification, changes in the registry; - persons (a general description of the types of legal entities, the differences between them, who is authorized to represent them and sign); - Treatise on the company, association, trust - including the determination of their seats, bodies, property compulsory deposits, registration in the registry, order contracts. About the speakers: Stanislav Servus is an attorney-at-law with broad professional experience in advising on corporate restructuring, corporate transactions including M&A , competition and real estate transactions, including the area of renewable energy. Before joining DVOŘÁK & SPOL. in 2007, Stanislav worked for Haarmann Hemmelrath law offices and later for Weinhold Legal where he was responsible primarily for advising German speaking clients. Stanislav Servus graduated from the Faculty of Law at Charles University in Prague and obtained a postgraduate degree at the Regensburg University (LL.M.) in Germany. In addition to his legal practice, Stanislav Servus frequently lectures, e.g. for the Union of Legal Counsels, and contributes to a number of publications. He is also a member of the Czech Competition Law Society. Apart from Czech, he is fluent in English and German. Jan Šamánek (CEAG) is an attorney cooperating with the CEAG law partnership. He focuses on corporate law, EU law, competition law and IT law. Before joining CEAG law office Jan worked at the Ministry of Justice as the Director General of the Sub-Section for International Law and as an Advisor. He also previously worked in the European Commission, DG Competition, and at the Court of Justice (cabinets of Justice K. Lenaerts and Advocate General J. Mazák). Jan studied law at the Masaryk University in Brno and the University of Michigan in Ann Arbor, MI, where he was the Fulbright Scholar and Michigan Grotius Fellow. In addition, Jan also studied at the Ecole Nationale d'Administration in Strasbourg, France, at the John Marshall Law School in Chcicago, IL, and at the Central European University in Budapest. Jan speaks fluently English, French, German and Spanish. Jiří Horák (White & Case) focuses mainly on corporate and commercial law and insurance. He has 34 years of combined business and professional experience. He worked 10 years as an in-house counsel of an international trading group of companies advising members of the group in former Czechoslovakia and abroad. His practice also includes working with a well-known German law firm. Prior to joining White & Case he worked almost 20 years as a partner in one of the Czech leading law firms. He advised numerous significant international clients in their various projects within the Czech and Slovak Republics as well as abroad. At present he leads the Corporate sub-group within the Corporate & Commercial practice group of White & Case in Prague.
